By accessing or using the Sillarai platform, the RedPencile AI website, or any other services offered by RedPencile AI Private Limited (“RedPencile”, “we”, “us”, or “our”), you (“User”, “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use our services.
These Terms apply to all users of the Platform, including registered account holders, trial users, visitors, referral partners, and any person accessing the website. The Platform is intended solely for lawful business use by Indian retail businesses and their authorised representatives.
We reserve the right to amend these Terms at any time. Amended Terms will be effective upon posting, and continued use of the Platform after such posting constitutes your acceptance of the amended Terms. We will make reasonable efforts to notify registered users of material changes via email or in-app notice.
To access the full features of Sillarai, you must register for an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You agree to notify us immediately upon becoming aware of any unauthorised use of your account. Each account is specific to a single business entity (“Tenant”). Sharing accounts across multiple unrelated businesses is not permitted. You must be at least 18 years of age and have the legal authority to bind your business to these Terms.
RedPencile reserves the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in activity that may harm other users or the Platform.
Sillarai is offered under multiple subscription plans, including a perpetual free tier (“Free Plan”) and paid plans (“Sillarai Start”, “Standard”, and “Pro”). Current pricing is published on our Pricing page and is subject to change with 30 days’ advance notice.
Free Plan: The Free Plan provides access to the Executive Summary dashboard, up to 2,000 sales rows, and up to 50 SKUs. It is available indefinitely with no credit card required. Features available under the Free Plan may be modified from time to time.
Paid Plans: Subscription fees are billed monthly in Indian Rupees (INR), inclusive of applicable GST. Payments are processed securely. Subscriptions auto-renew monthly unless cancelled. Refunds for mid-cycle cancellations are not provided; however, you retain access through the end of the billing period.
TDS: Where applicable, TDS will be deducted from payments in accordance with the Income Tax Act, 1961. GST-registered users should provide their GSTIN for invoice purposes.
You retain full ownership of all business data you upload to Sillarai (“Tenant Data”). RedPencile processes your data solely to provide the Platform’s services and does not sell, share, or use your Tenant Data for cross-tenant analytics or third-party purposes.
Each Tenant’s data is isolated at the application level through dedicated tenant identifiers and industry-standard encryption. All data is hosted on AWS infrastructure in the Mumbai (ap-south-1) region. Your data does not leave Indian servers.
Upon cancellation, your Tenant Data is retained for 30 days to allow data export, after which it is permanently deleted. You may export your data at any time through the Platform. RedPencile is not liable for any loss of data following the 30-day retention window after cancellation.
The Platform, including all software, dashboards, analytics models, algorithms, user interface designs, brand assets, documentation, and content (excluding Tenant Data), is the exclusive intellectual property of RedPencile Technologies Private Limited and is protected by applicable Indian and international IP laws.
No part of the Platform may be copied, reproduced, modified, distributed, reverse-engineered, or exploited in any form without prior written consent from RedPencile. Your use of the Platform does not grant you any ownership rights in any Platform component.
“Sillarai”, “RedPencile”, “RedPencile AI”, and associated logos are trademarks of RedPencile AI Private Limited. Unauthorised use of these marks is strictly prohibited.
You agree not to use the Platform to: (a) upload unlawful, false, or fraudulent data; (b) reverse-engineer, decompile, or attempt to derive source code; (c) scrape, crawl, or use automated tools to extract data from the Platform; (d) transmit malware, viruses, or any harmful code; (e) impersonate another user or business; (f) use the Platform for any purpose other than lawful internal business analytics; (g) violate any applicable Indian law or regulation, including the IT Act 2000, DPDPA 2023, or GST Act 2017.
Violation of prohibited use provisions may result in immediate account suspension and may expose you to civil or criminal liability.
The Platform is provided “as is” and “as available”. RedPencile does not warrant that the Platform will be uninterrupted, error-free, or suitable for any particular purpose. Retail insights and recommendations provided by the Platform are analytical outputs and should not be relied upon as professional financial, tax, or legal advice.
To the fullest extent permitted by applicable law, RedPencile’s aggregate liability to you shall not exceed the total subscription fees paid by you in the twelve (12) months preceding the claim. In no event shall RedPencile be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunity.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle. RedPencile may suspend or terminate your account immediately upon material breach of these Terms, non-payment, fraudulent activity, or for any reason with 30 days’ notice.
Upon termination, your access to the Platform will cease, and Tenant Data will be retained for 30 days as described in Section 4. Provisions relating to intellectual property, limitations of liability, confidentiality, and dispute resolution shall survive termination.
RedPencile is committed to protecting your personal data in compliance with the Digital Personal Data Protection Act, 2023 (DPDPA) and all applicable Indian data protection laws.
Data We Collect: We collect account registration information (name, email, business name, phone number, GSTIN), Tenant Data you upload, usage and analytics data generated through your Platform interactions, and payment information processed through our payment partners.
How We Use Your Data: We use your data to provide and improve the Platform, process payments, send service communications, comply with legal obligations, and investigate violations of these Terms. We do not use your Tenant Data for advertising or cross-tenant purposes.
Data Sharing: We do not sell your personal data. We may share data with trusted service providers (AWS, payment processors) solely to operate the Platform, subject to confidentiality obligations. We may disclose information where required by law or regulatory authority.
Cookies: We use essential cookies for session management and optional analytics cookies to improve the Platform experience. You may decline optional cookies without affecting core functionality.
Your Rights: Under the DPDPA, you have the right to access, correct, and erase your personal data. To exercise these rights, contact us at the email address on our Contact page.
Data Retention: Active account data is retained for the subscription period plus 30 days after cancellation. Anonymised aggregated usage data may be retained indefinitely.
These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall first be attempted through good-faith negotiation for 30 days.
If unresolved, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Chennai, Tamil Nadu, conducted in English. The courts of Chennai, Tamil Nadu shall have exclusive jurisdiction for any matter not subject to arbitration.

Commissions are calculated on Net Subscription Revenue (after GST, discounts, and refunds). TDS deducted per Section 194H of the Income Tax Act, 1961 (10% with valid PAN). Payouts via NEFT/IMPS/UPI on or before the 15th of each month. Minimum payout threshold: ₹500.

Access the Partner Portal to get your unique tracking link and QR code. Share it with your retail contacts via any channel.
The Portal shows real-time referral status, Commission statements, and payout history. First-touch attribution with a 90–180 day window ensures your referrals are credited.
Commissions accrue on every paid subscription month. Payouts are processed by the 15th of each month to your verified Indian bank account or UPI.
The full agreement governs the relationship between RedPencile AI Private Limited and its referral partners. Key terms are summarised below. A copy of the complete agreement is provided upon application.
The Partner is appointed as a non-exclusive referral partner for the Sillarai platform. This is an independent contractor arrangement — no employer-employee, agency, or joint venture relationship is created. RedPencile may appoint other partners and market directly to any prospect, including those in the Partner’s network, without obligation.
The Partner has no authority to bind RedPencile, negotiate pricing or terms, accept payments on RedPencile’s behalf, or represent themselves as a RedPencile employee or agent.
The initial term is 12 months, auto-renewing for successive 12-month periods unless either party gives 30 days’ written notice of non-renewal. Either party may terminate without cause with 30 days’ notice.
RedPencile may terminate immediately if the Partner engages in fraudulent referrals, brand misrepresentation, spam, or keyword bidding on RedPencile’s branded terms without authorisation. Commission entitlement upon termination depends on the reason: referral-tier commissions on existing Active Referrals continue for their applicable Commission Duration after termination without cause; they are forfeited upon termination for cause.
Referrals must be made via your unique Referral Link. Attribution follows first-touch: the first Partner’s link clicked by a prospect is credited. Attribution windows: 90 days (Referral & Certified) or 180 days (Strategic).
Self-referrals (referring entities you own or control, or immediate family members’ businesses) are prohibited and automatically void. Manual attribution requests must be submitted within 14 days of the prospect’s registration. Attribution disputes are resolved through the Partner Portal within 7 business days.
Partners must represent the Platform accurately using only Company-approved materials. Partners are required to comply with all applicable Indian laws including the IT Act 2000, TRAI regulations, DPDPA 2023, Income Tax Act, and Consumer Protection Act 2019.
Prohibited activities include: spam or unsolicited bulk communications; bidding on “RedPencile” branded keywords in paid search; creating websites that impersonate RedPencile channels; offering cash incentives to prospects to induce sign-up; using bots or click farms; and assigning your referral code to any third party.
Partners must maintain strict confidentiality of all non-public information received from RedPencile, including commission rates, product roadmaps, and customer data. Confidentiality obligations survive termination for 2 years.
Partners must not access, store, or process any tenant’s business data on the Platform. Prospect contact information may only be used to introduce the prospect to Sillarai. All handling of personal data must comply with the DPDPA 2023.
Partners must provide verified KYC information (PAN, address, bank account / IFSC, GSTIN if applicable) before any payout is processed. TDS is deducted at 10% under Section 194H (20% without valid PAN). GST-registered partners must raise tax invoices; Reverse Charge Mechanism applies to unregistered partners.
Payouts: monthly via NEFT/IMPS (or UPI for amounts below ₹5,000), by the 15th of each month, with a minimum threshold of ₹500. Balances below ₹500 carry forward. A 30-day cooling-off period applies — refunds or chargebacks from referred tenants during this period will result in Commission clawback.
This Agreement is governed by the laws of India. Disputes must first be attempted through 30-day good-faith negotiation. If unresolved, they proceed to binding arbitration under the Arbitration and Conciliation Act 1996, with the seat in Chennai and proceedings in English.
Courts of Chennai, Tamil Nadu have exclusive jurisdiction for any matter not subject to arbitration. Either party may seek interim or injunctive relief from Chennai courts for IP or confidentiality matters pending arbitration.
